# Discussion Thread

### What Is a Discussion Thread?

A **Discussion Thread** is a community-driven interaction format that allows participants to express support for different viewpoints around a topic.

Rather than predicting outcomes, participants allocate support to perspectives with which they agree, contributing to a collective signal that reflects community sentiment over time.

#### Can I Create My Own Discussion Thread?

Yes. Any user can create a Discussion Thread without permission.

Each thread must include at least two viewpoints to encourage participants to engage.

#### How Do Discussion Threads Work?

When a Discussion Thread is created, it is assigned a default interaction period of **30 days**.

During the active period, participants may collectively vote to extend the discussion window.

To extend the interaction period, the extension request must receive support equal to **20 percent of the current total allocated support** within the thread. This threshold is based on the total allocated value, not the number of participants.

Each successful extension adds **7 additional days** to the discussion. There is no limit to how many extensions can occur.

When the discussion period ends, the outcome is determined by **aggregate community support** across the available viewpoints.

The viewpoint receiving the highest level of support is recognized as the **prevailing community perspective**.

Discussion Threads are resolved entirely through on-chain community participation and do not rely on external data sources or oracles.

The total allocation of support across all viewpoints always represents full participation within the thread.


# Q\&A Bounties

#### What Is a Q\&A Bounty?

A **Q\&A Bounty** allows users to post a question and attach a reward to incentivize high-quality answers from the community.

Participants contribute knowledge or insights, and the most helpful response is surfaced through community engagement.

#### How Do Q\&A Bounties Work?

A Q\&A Bounty is created by a user who:

* Posts a question
* Sets a response duration
* Assigns a reward

During the active period:

* Any user may submit an answer
* Other users can support answers by liking them

When the response period ends:

* The answer with the highest level of community support is selected as the **top answer**
* The contributor of the top answer receives the assigned reward

#### Key Characteristics

* Incentivized knowledge sharing
* Community-driven answer selection
* No speculation, odds, or outcome betting
* No external data sources or oracles

#### What Is Square?

**Square** is Polarise’s primary social space where users create, share, and interact with content.

It serves as the entry point for all social activity on the platform, including standalone content, community interactions, and contributions linked to other features.

#### What Is a Post?

A **Post** is the fundamental content unit published within Square.

Users can create standalone posts directly in Square, and contributions made within other features, such as **Discussion Threads** and **Q\&A Bounties,** are also represented as posts at the protocol level.

#### Standalone Posts in Square

When creating a standalone post in Square, users may choose to restrict access by enabling **subscription-only** visibility.

This setting applies only to standalone posts that are not connected to other interaction formats.

#### Posts Linked to Other Features

Posts created as part of **Discussion Threads** or **Q\&A Bounties** are always publicly accessible.

This ensures open participation and visibility for community-driven interactions across the platform.


# NFTs

NFTs on Polarise represent ownership of social activity and content on the platform.

Posts, Discussion Threads, Q\&A Bounties, and other interactive content can be minted as NFTs, allowing creators and contributors to hold on-chain ownership tied to engagement and participation.

All NFTs on Polarise are built using **ERC-1000**, a custom standard that enables seamless conversion between NFT and fungible representations. This design allows social assets to remain flexible, composable, and liquid as activity evolves.

NFTs serve as the foundation for ownership, participation, and value alignment across the Polarise SocialFi ecosystem.


# What NFTs Exist in Polarise?

Polarise allows users to mint NFTs from a variety of platform activities, including **Posts** and **Discussion Threads**. These NFTs represent ownership of social assets created through participation and engagement on the platform.

Q\&A Bounties cannot be minted as NFTs.

Once minted, NFTs can be traded directly on the **Polarise NFT Marketplace**, allowing ownership to transfer while the underlying content and engagement continue to evolve.


# What NFT ownership means

Owning an NFT on Polarise means owning a **social asset** created through content, interaction, or community participation on the platform.

NFT ownership represents a persistent on-chain relationship with the underlying content or activity. Even as discussions evolve, posts receive new engagement, or ownership changes hands, the NFT remains linked to the ongoing participation around that asset.

Ownership may entitle the holder to benefits generated through engagement, such as participation-related fees or content-based rewards, depending on the type of NFT. These benefits are tied to activity rather than one-time events, allowing value to accumulate over time as engagement continues.

NFTs on Polarise are transferable, meaning ownership can change without disrupting the underlying content or community interaction. This allows social assets to remain open, dynamic, and composable, while ownership reflects alignment with meaningful participation rather than static collectibles.


# Why Should I Mint NFTs?

Polarise supports different types of NFTs, each representing a different form of social ownership and value capture. Every NFT type is tied to activity and engagement on the platform rather than static collectibles.

#### 1. Interactive Asset NFTs

When a user creates an interactive on-chain experience around a topic, they may choose to mint it as an NFT.

This NFT represents on-chain ownership of the interactive asset. As other users participate, a portion of participation-related fees is distributed to the NFT holder. If the asset is not minted as an NFT, these fees instead flow directly to the creator.

If posts created within the interactive asset are later minted and traded as Post NFTs, royalties generated from those posts also flow to the Interactive Asset NFT holder. If no such NFT exists, royalties are paid to the original creator.

Even after active participation ends, the NFT holder (or the creator, if no NFT exists) may continue to receive royalties generated from ongoing engagement. This makes Interactive Asset NFTs long-lived, yield-generating social assets that can be freely traded.

#### 2. Discussion Thread NFTs

Discussion Threads can also be minted as NFTs.

When minted, the Discussion Thread NFT represents ownership of the discussion itself. The NFT holder receives participation fee shares and royalties generated from the thread and related posts. If the discussion is not minted as an NFT, these rewards instead flow to the original creator.

This allows high-quality discussions to become ownable assets that continue to generate value as engagement grows over time.

#### 3. Post NFTs

High-quality standalone posts can be minted into Post NFTs.

When a post attracts sustained engagement, subscriptions, or reposts, it may generate ongoing value. If other users repost the content and mint those reposts as new Post NFTs, the original Post NFT holder (or the original creator, if no NFT exists) receives recurring royalties.

In this way, valuable content can continue generating income long after it is first published.

#### 4. Community NFTs

When a community is created on Polarise, it is always minted as an NFT.

Community NFTs represent ownership and stewardship of the community. When content is distributed into a community, a portion of the revenue generated by that content flows into the community treasury.

Community NFT holders act as community stewards and participate in governance decisions related to treasury usage, incentives, and long-term community development.


# NFT Marketplace

Polarise includes a built-in NFT marketplace that allows users to buy and sell content-based NFTs directly within the platform.

The marketplace is designed specifically for social assets, enabling ownership of posts, discussions, interactive assets, and communities to be transferred seamlessly while the underlying content and engagement continue to evolve.

This native integration ensures a smooth experience without requiring external marketplaces or manual asset handling.


# ERC-1000 EIP

### ERC-1000 Overview

ERC-1000 is Polarise Protocol’s advanced token standard that unifies NFTs and fungible tokens into a single, convertible asset model.

Built on top of ERC-721 and ERC-20, ERC-1000 allows assets to move seamlessly between NFT and fungible representations depending on how they are used within the ecosystem. This design enables social and content-based assets to remain flexible, liquid, and composable without fragmentation.

At its core, ERC-1000 introduces a **new liquidity facilitation mechanism** that enables what Polarise defines as *standardized fragmentation*. By combining the ERC-1000 standard with Polarise’s proprietary protocol tools, non-homogeneous assets such as NFTs and other non-standard content assets can be securely and efficiently converted into standardized token forms. This allows previously illiquid or hard-to-use assets to participate in broader on-chain applications without losing their original identity.

Through this mechanism, ERC-1000 addresses long-standing limitations of NFTs in financial and composable systems by improving liquidity while preserving ownership continuity and functional flexibility.

ERC-1000 powers Polarise’s **P-Token system**, **fractionalization framework**, and core liquidity modules, including **Flash Trade**, **NFT Leverage**, and **Consignment**. Together, these components allow content assets to be traded, reused, and integrated across posts, discussion threads, and communities.

### ERC-1000 Capabilities

ERC-1000 supports the following core capabilities:

* Convert an ERC-721 NFT into a fixed supply of ERC-20 tokens, and convert ERC-20 tokens back into NFTs
* Receive ERC-20 tokens by depositing NFTs into the ERC-1000 contract
* Convert ERC-20 tokens into either random or specific NFTs
* Use NFTs as collateral to obtain ERC-20 tokens through **leverage** or **consignment** mechanisms
* Repurchase or redeem NFTs that are placed in **Flash Trade**, collateral, or consignment positions

# Flash Trade

Make NFT trade interchangeably in ERC-20 format

Polarise's Flash Trade feature allows users to instantly swap between NFTs and P-Token at a ratio of 1:1,000, facilitating seamless and efficient buying and selling of NFTs. For instance, a user may exchange N x mNFT for N x 1,000 x P-mNFT through the Flash Trade platform. This allows users to obtain P-Token exposure or liquidate NFT assets quickly and flexibly. In addition, Flash Trade's 1:1,000 ratio provides users with ample liquidity and transactional capacity, enabling them to optimize their NFT portfolios while maximizing their returns. Only supported collections in [P-Token List](broken://pages/NHTvDx1KkOjkHeoncG70) are Flash Trade compatible.

## How to swap NFTs for P-Tokens?

Here is a step-by-step guide on how users can get P-Tokens with their NFTs:

1. Go to "Flash Trade" page, and select an NFT collection (our front-end will be displaying only supported collections). In this example, the user select "Bored Ape Yacht Club"
2. Choose the NFTs that you wish to swap P-Tokens with.
3. Based on the amount of NFTs, user will receive N x 1,000 P-BAYC in this example.
4. After execution, user will see N x 1,000 P-BAYC in his/ her wallet.
5. User's original NFTs will flow into corresponding NFT vault (in this case, BAYC vault).&#x20;

## How to swap P-Tokens for NFTs?

Here is a step-by-step guide on how users can get NFTs with P-Tokens:&#x20;

1. Go to "Flash Trade" page, and select an NFT collection (our front-end will be displaying only supported collections). In this example, the user selects "Bored Ape Yacht Club".
2. If there are available NFTs in BAYC vault, user can either
   1. Swap random BAYCs
   2. Swap specific BAYCs
3. Service fee will be charged based on different cases.
   1. In this example, if user swaps 1 BAYC randomly, he/ she will need to pay 0.5% service fee. That is, 1,005 P-BAYC
   2. If user swaps 1 specific BAYC, he/ she will need to pay 0.5% service fee and 1% designation fee. That is, 1,015 P-BAYC
4. Afterwards, BAYCs will be automatically sent to user wallet.
5. Please note that service fee and designation fee might be changed due to market condition or through a successful Polarise Governance proposal.

# NFT Leverage

Obtain loan instantly without liquidation risk

While Flash Trade offers users the ability to buy and sell NFTs instantly, it does not guarantee that users can repurchase the same NFT, as other users from the vault may acquire it. To cater to the market demand of users seeking P-Token exposure without forfeiting their original NFT, Polarise introduces "NFT Leverage."&#x20;

By pledging their NFTs as collateral, users can borrow corresponding P-Tokens, with a nearly 100% LTV. Notably, users are guaranteed to receive their original NFT back as soon as they repay the P-Tokens, which will be safeguarded in our audited and verified smart contract by PeckShield. NFT Leverage provides a secure and efficient means of obtaining P-Token exposure while retaining ownership of NFT assets.

Please note, Polarise's leverage mirrors the isolated margin lending structure - each NFT borrowing instance initiates a unique loan order, where interest and loan duration are calculated separately. So, for instance, if you aim to borrow against 10 NFTs, you need to open 10 individual leverage orders.

## How to borrow out P-Tokens with NFTs?

Here is a step-by-step guide on how users can get short-term P-Tokens with their NFTs:

1. Go to "NFT Leverage" page, and select an NFT user would like to borrow against (our front-end will be displaying only supported collections). In this example, the user select one of his "Bored Ape Yacht Club"
2. Select a duration in which user wishes to hold this position. In this case, 30 days.
3. There will be a 10% annual margin rate deducted from the leverage amount, which is 1,000 P-BAYC, as an upfront interest. That is, user will receive 1,000 x (1 - 10% x 30/365) = 991.78 P-BAYC
4. After approval, 991.78 P-BAYC will be sent to user's wallet, and the BAYC will be locked in the Leverage Contract.
5. To get back user's leveraged BAYC after N days, he/ she needs to pay back 991.78 +1,000 x (10% x N/365)
6. After approval, the original BAYC will be sent back to user wallet.
7. Please note that margin rate might be changed due to market condition or through a successful Polarise Governance proposal.

## Is there any benefit to borrow out P-Tokens with NFTs?

Of course! There are two main reasons borrowers should obtain liquidity through Polarise's leverage module: nearly 100% LTV and 0 risks of mid-term liquidation.

### 100% LTV

Even though the loan amount is calculated in P-Token, you can quickly settle in ETH through our smart router. Imagine borrowing 15 ETH against your Bored Ape with a 14 ETH floor price - this is an everyday use case in Polarise!

### 0 risk of mid-term liquidation

When borrowing P-Token against NFT in Polarise NFT Leverage module, borrowers will not be vulnerable to any liquidation risk due to price volatility during loan period. As long as borrowers pay back the calculated P-Token amount before expiration, they will be able to get back their NFT.

Unlike normal NFT lending platforms where borrowers are exposed to both ETH and NFT price volatility, Polarise will keep risk more manageable as the only exposure will be P-Token amount.

## What if I did not pay back on time?

A default will happen when borrowers fail to repay the debt according to the above agreement. Please see more details in [NFT Leverage Liquidation](broken://pages/mRFyLUHVOA3iZmd9k8pO#nft-leverage).


# Consignment

Receive upfront payment when selling NFTs

Polarise's P-Token mechanism eliminates the need for NFT holders to lowball their listings to achieve faster matches for cash flow. The P-Token design allows Polarise to offer upfront payment to NFT holders when selling their NFTs. Consigning NFTs on Polarise requires locking the NFT in a smart contract rather than just providing a signature and authorization, as with standard listings.

However, users need not worry, as this smart contract has been audited and verified by PeckShield and can securely handle the selling process. By utilizing smart contracts, Polarise provides users with increased security and transparency, as well as faster and more efficient transaction processing.

## How to consign NFTs?

Here is a step-by-step guide on how users can get an upfront payment by consigning NFTs on Polarise:

1. Go to "Consign" page, and select an NFT user would like to sell (our front-end will be displaying only supported collections). In this example, the user select one of his "Bored Ape Yacht Club"
2. Select a duration in which user wishes to consign. In this case, 30 days.
3. A 10% annual interest rate will be deducted from the base income, which is 1,000 P-BAYC, as Custody Fee. Therefore, the user will receive 1,000 x (1 - 10% x 30/365) = 991.78 P-BAYC as an upfront payment.
4. User needs to set the sale price (denoted in P-Token). In this case, 2,000 P-BAYC.
5. After approval, the user will receive and see 991.78 P-BAYC in their wallet, and the BAYC will be locked in the Consign Contract and listed for sale in the market.
6. If this BAYC is sold on the 20th day, Polarise will charge a 1% capital gain as a service fee. The remaining amount and unspent custody fee will be sent to the user's wallet. In this case, (2,000 - 1,000) x 99% + 1,000 x (10% x 10/365) = 992.74 P-BAYC. The upfront payment is not required to be returned.
7. If the user decides an early termination after N days, to get back user's consigned BAYC, he/ she needs to pay back 991.78 + 1,000 x (10% x N/365)
8. If eventually no one purchases this BAYC within 30 days, to get back the user's consigned BAYC, they need to pay back 1,000 P-BAYC.
9. After approval, user will receive and see the original BAYC in his/ her wallet.
10. Please note that interest rate and service fee might be changed due to market conditions or through a successful Polarise Governance proposal.

# Trading NFTs

When trading on the NFT Marketplace, users buy NFTs at the listing price set by the seller.

If you have NFTs minted on Polarise, you can manage them under Profile → My NFTs, where you can list or delist your items.\
Once an NFT is listed, it becomes visible on the marketplace.\
When another user purchases your listed NFT, you receive the full sale price, and the NFT is transferred to the buyer’s address.

### Are There Trading Limits on Polarise?

There are no trading limits in Polarise discussion threads or Q\&A bounties.\
Users may trade with any amount of capital they choose.

A **Community** is a user-driven organizational group within Polarise, formed around shared interests, topics, creators, or identities.

Communities act as social coordination layers that help organize content, participation, and value creation across the platform.

Any user can create a community, and users may join multiple communities at the same time.

# Trading Fees

Certain interactions on Polarise generate trading fees as users allocate participation across different options within interactive assets.

Trading fees are collected automatically by the protocol and distributed according to ownership and creation rules defined at the time the activity occurs. Fee allocation is continuous and does not require manual settlement.

#### Who Receives Trading Fees

By default, trading fees generated within an interactive asset are assigned to the asset’s creator.

If the asset is minted as an NFT, the trading fees are instead directed to the current NFT holder at the time the activity occurs. This allows ownership of future fee streams to be transferred while preserving continuity of the underlying content and interaction.

If an asset is not minted as an NFT, trading fees continue to flow directly to the original creator.

#### Fee Ownership and Transfer Timing

Trading fees are distributed based on **ownership at the moment the fee is generated**.

When an NFT is transferred or sold:

* Any trading fees generated **before** the transfer remain with the **previous NFT holder**
* Any trading fees generated **after** the transfer belong to the **new NFT holder**

Previously accrued fees are not reassigned or retroactively redistributed when ownership changes. Each NFT holder receives fees only for the period during which they hold the NFT.

This ensures clear ownership boundaries and predictable fee accounting for all participants.

#### Ongoing Fee Generation

Trading fees may continue to be generated for as long as participation occurs within the asset, regardless of when it was created or minted.

This model allows creators and NFT holders to remain aligned with long-term engagement while maintaining transparent and time-based ownership of fee flows.

#### Transparency and Settlement

All trading fees are calculated and distributed on-chain using protocol-defined logic. Fee flows are deterministic, verifiable, and visible to participants at all times.

No manual intervention is required for fee settlement, and ownership transitions do not interrupt fee distribution.


# AMM Trading

### AMM-Based Trading

Polarise uses an **Automated Market Maker (AMM)** mechanism to enable real-time participation, liquidity, and dynamic weighting within interactive assets such as **Discussion Threads** and other option-based social interactions.

Instead of relying on an order book, Polarise uses the **Logarithmic Market Scoring Rule (LMSR)** to automatically adjust pricing and weighting based on participant activity. This allows users to allocate support to different options according to their views, while the system continuously updates relative weights as activity changes.

Because LMSR does not require a counterparty, participation can occur at any time. Even the first participant in a thread can allocate support immediately, with the system providing a quoted price and instant execution. This design ensures **continuous liquidity**, similar to how AMM-based decentralized exchanges operate.

### How LMSR Works

LMSR determines prices based on the total amount of participation allocated to each option. Rather than fixed values, option weights evolve dynamically as users interact, reflecting collective sentiment in real time.

The pricing mechanism is defined by the following components:

Another key property of LMSR is that the price of each option **pi** is the marginal derivative of the cost function.

# Subscriptions

Subscriptions allow creators to control access to their content and build ongoing relationships with their audience.

When a creator enables subscriptions, they may choose to restrict certain posts so that only subscribed users can view the full content. Users who are not subscribed will not be able to access subscription-only posts unless they choose to subscribe.

Creators have full control over their subscription settings through their profile. This includes the ability to determine whether subscriptions are **free or paid**, as well as setting the **subscription price** if paid subscriptions are enabled. Pricing decisions are made entirely by the creator and can be adjusted over time.

Subscriptions apply at the creator level rather than on a per-post basis. Once a user subscribes to a creator, they gain access to all content that the creator has designated as subscription-only during the active subscription period.

This system allows creators to monetize high-value content, offer exclusive access to their supporters, and maintain flexibility over how their work is shared, while users can choose which creators they wish to support based on their interests.


# Tipping

Tipping allows users to directly support creators as a gesture of appreciation for high-quality content.

Users may send a tip to a creator at any time. Tips are voluntary and do not grant special access or ownership rights unless otherwise specified. The full-tipped amount is transferred directly to the creator, and **100 percent of the tip is received by the creator**.

Tipping provides a simple way for users to reward valuable contributions and enables creators to receive direct support from their audience without intermediaries.


# Risk Framework

As decentralized, open protocols continue to scale globally, operating across multiple jurisdictions and user contexts introduces new security and risk considerations. Polarise is designed with these realities in mind and adopts a comprehensive, protocol-level approach to risk management across its SocialFi infrastructure.

Beyond external security audits conducted by reputable firms such as PeckShield, Polarise implements an internal risk assessment framework to continuously monitor system behavior, identify abnormal patterns, and mitigate potential abuse or extreme edge cases. This framework is informed by empirical data, on-chain activity analysis, and protocol-specific risk modeling.

Polarise also applies carefully designed risk parameters across its core modules to balance openness with protection. These parameters are used to safeguard users, preserve system integrity, and ensure that interactions remain predictable and resilient as participation scales.

# Liquidation

## NFT Leverage

At Polarise, we understand that borrowers may be vulnerable to liquidation risks caused by price volatility during the loan period. That's why we designed our NFT Leverage module to eliminate this risk. As a result, when borrowers borrow P-Token against their NFT, they can rest assured that they won't be liquidated due to market fluctuations during the loan period.

If borrowers repay the calculated P-Token amount before the loan expiration date, they can retrieve their NFT. However, if they miss the deadline, they will enter a grace period before liquidation. The grace period is equal to the loan duration multiplied by 0.2 (there is no grace period for ERC-1000 standard collections). For example, if the loan duration is 30 days, the borrower has until the 36th day to repay the loan before liquidation occurs. Please note that interest will still accrue during the grace period.

At Polarise, we prioritize the security and convenience of our users. Our NFT Leverage module offers flexible loan terms and eliminates the risk of liquidation, making it a reliable option for borrowers looking to leverage their NFTs.

## Consignment

Consignment has the same liquidation logic as NFT Leverage. Sellers must pay back the upfront payment and custody fee before the grace period ends.

The consigned NFT will also be liquidated if the seller does not pay back on time, and it will be directly sent to "NFT Vault" for trading.

These Terms of Use provide the terms and conditions under which you, whether personally or on behalf of an entity ("**you**" or "**your**"), are permitted to use, interact with or otherwise access the platform and services provided by Polarise Ltd. (the "**Company**," "**we**," "**us**," or "**our**"). These Terms of Use, together with any documents and additional terms or policies that are appended hereto or that expressly incorporate these Terms of Use by reference as well as our Privacy Policy (collectively, the "**Terms**"), constitute a binding agreement between you and us.

These Terms apply to (i) all content, informational functionality, and information features (the "**Content Features**") available on polarise.app (the "**Site**"), our mobile applications, and any other site or application to which the Terms are posted (each, as applicable, an "**Interface**") and (ii) software and services, including but not limited to our social finance platform with polling, discussion, and community engagement features (the "**Platform**"), that may be available to users by connecting their self-hosted wallets via an Interface (the "**Technology Features**" and together with the Content Features, the "**Features**").

USE OF A VIRTUAL PRIVATE NETWORK ("**VPN**") OR ANY SIMILAR TOOL TO ATTEMPT TO OR TO CIRCUMVENT THE RESTRICTIONS SET FORTH HEREIN IS STRICTLY PROHIBITED. ANY PERSON IN VIOLATION OF THESE TERMS MAY HAVE THEIR ACCOUNTS PLACED IN CLOSE-ONLY MODE, BE PROHIBITED FROM ACCESSING CERTAIN FEATURES, OR HAVE THEIR ACCESS TO THE PLATFORM TERMINATED IN OUR SOLE DISCRETION.

### 2. The Site and Features

#### Description of the Site and Features

The Platform is a social finance (SocialFi) platform that enables users to engage in social interactions, community discussions, polls, surveys, and various forms of content creation and sharing. The Platform combines social networking features with blockchain technology to create a unique digital community experience.

Key features of the Platform may include, but are not limited to:

* **Social Networking**: Connect with other users, follow accounts, and build your social network within the platform.
* **Content Creation and Sharing**: Create, share, and engage with various types of content, including posts, comments, images, videos, and other media.
* **Polling and Surveys**: Participate in community polls and surveys on various topics, and create your own polls for community engagement.
* **Discussion Forums**: Engage in threaded discussions on topics of interest within the community.
* **User Profiles**: Maintain a customizable user profile showcasing your activity, connections, and interests.
* **Community Governance**: In certain cases, participate in platform governance through voting and proposal mechanisms.
* **Token-Based Features**: Certain features may involve the use of digital tokens or cryptocurrencies for enhanced engagement, tipping, or other platform-specific utilities.

**Restricted Features**: Certain advanced features of the Platform may not be available to users in specific jurisdictions due to regulatory requirements. These restrictions are detailed in Section 2.3 below.

The pricing or value information provided on the Site relating to any tokenized features or digital assets does not represent an offer, a solicitation of an offer, or any advice regarding, or recommendation to enter into, a transaction with the Company.

Even when the Site appears to be dynamic (*e.g.*, updating or providing new displays when you – on your own accord – provide certain information), at no time is the Company acting directed by you or on your behalf. In addition, if you connect a wallet on the Site such that your self-hosted cryptocurrency wallet ("**Wallet**") can provide information to be transmitted to a blockchain network or other blockchain-based application, you should note that the Company (i) is *not* involved in providing or transmitting any such information to networks, (ii) *cannot* transmit any information to networks or otherwise assist in any transaction, (iii) *never* has access to and cannot control or provide guarantees relating to your Wallet and (iv) has *no authority* over and does *not* take possession or custody of your cryptoassets at any time. This also means that the Company is unable to assist with transactions: please be vigilant in interacting with any immutable blockchain technology.

You are solely responsible for familiarizing yourself with your Wallet and its safety and security features, including any private keys and passwords associated therewith. We will not and cannot access your private key, password, or any cryptoassets held within your Wallet, nor can we reverse any transactions you initiate with your Wallet (or otherwise). We cannot be responsible or liable in any way for how you use your Wallet.

You should also familiarize yourself with the risks associated with transacting on blockchain networks, including but not limited to smart contract vulnerabilities, front-end vulnerabilities, hacks, phishing attacks, social engineering attacks, cryptoasset volatility, and transaction irreversibility.

The Company is not responsible for the operation of any blockchain network, and the Company does not make any guarantee of the network's functionality, security, or availability. The Company is not responsible for the activities of persons or entities who develop or use applications or who validate or verify transactions or other operations related to blockchain networks operated by third parties. The Company cannot control how blockchain networks operated by third parties market their blockchain networks, and users should not assume any blockchain networks operated by third parties are affiliated with the Company. All transactions broadcast to the applicable blockchain network via your Wallet may require the payment of non-refundable network transaction fees, which shall be borne entirely by you.

We do not effectuate, facilitate, or control any transactions initiated via the Platform, and the Company will not be responsible for the result of any transactions, including but not limited to failed, inadvertent, or fraudulent transactions that may result in loss of funds or transaction fees or any other loss or harm to you.

#### Your Acknowledgement Relating to the Site and Information on the Site

You hereby acknowledge and agree that all information provided as part of the Content Features in connection with your access and use of the Site is intended for informational and entertainment purposes only. The Site strives to provide accurate information, but there is no guarantee or warranty that the information is updated, complete, or timely. For this reason, you acknowledge and agree that you are not relying on any of the information on the Site or any other Interface for any purpose and expressly (i) disclaim any reliance on any information on the Site or within the Features, and (ii) acknowledge that the Company will not be liable for any such information provided.

From time to time the Site, any other Interface or the Features may be inaccessible or inoperable for any reason, including, without limitation: (A) equipment malfunctions; (B) periodic maintenance procedures or repairs that the Company or any of its suppliers or contractors may undertake from time to time; (C) causes beyond the Company's control or that the Company could not reasonably foresee; (D) disruptions and temporary or permanent unavailability of underlying blockchain infrastructure; or (E) unavailability of third-party service providers or external partners for any reason.

You should take all steps to independently verify any information on the Site and any Interface on which you intend to rely and should not take action based solely on any information contained on any Interfaces, including blog posts, data, articles, links to third-party content, social media content, news feeds, tutorials, and videos.

None of the information provided on the Site, any other Interface, or through the Features should be construed as professional, financial, investment, legal, or tax advice, and the Company does not owe any duties and does not have any obligations to you based on the information provided on the Site, any other Interface, or through the Features. You acknowledge and agree that all information provided in connection with your access and use of the Site, any other Interface, and the Features is for informational purposes only and should not be construed as professional advice. You should not take, or refrain from taking, any action based on any information contained on the Site or any other Interface, or any other information that we make available at any time, including, without limitation, blog posts, articles, links to third-party content, community content, news feeds, tutorials, social media content, and videos. #### Geographic Restrictions and Feature Availability

**Overview**: The Company is committed to complying with applicable laws and regulations in all jurisdictions. As a result, certain features of the Platform may not be available to users in specific countries or regions due to regulatory requirements, compliance obligations, and international sanctions.

**Restricted Jurisdictions**: Users located in the following jurisdictions (collectively, the "**Restricted Jurisdictions**") may have limited access to certain Platform features:

The following jurisdictions are subject to comprehensive restrictions where certain advanced features may not be available:

* **OFAC-Sanctioned Countries**: Any jurisdiction or territory that is the subject of comprehensive country-wide, territory-wide, or regional economic sanctions by the United States Office of Foreign Assets Control (OFAC), including but not limited to: Iran, Syria, Cuba, North Korea, and the Crimea, Donetsk, and Luhansk regions of Ukraine
* **Additional Restricted Regions**: Certain regions, as determined by the Company from time to time, based on regulatory requirements and compliance considerations

**Feature-Specific Restrictions**

Certain Platform features may be restricted for users in the following jurisdictions:

**Close-Only Access**: Users in certain jurisdictions may be placed in "close-only" mode for specific features, meaning they can:

* ✅ Close out existing positions or participation
* ✅ Withdraw funds or assets
* ❌ Initiate new positions or participate in new restricted activities

**Restricted Features**: The following Platform features may be restricted in certain jurisdictions:

* Advanced tokenized engagement features
* Certain governance participation rights
* Specific community rewards programs
* Token-gated content or features
* Financial instrument-related functionality
* Certain peer-to-peer transaction capabilities

**General Access**: Users in Restricted Jurisdictions typically retain access to:

* Basic social networking features
* Content viewing and consumption
* Standard profile management
* Non-financial polling and survey participation
* Discussion forum participation
* General community engagement

The Company reserves the right to modify the list of Restricted Jurisdictions and restricted features at any time based on evolving regulatory requirements and compliance considerations. The Company may implement technical measures, including IP address detection and wallet address analysis, to enforce these geographic restrictions.

**Why These Restrictions?**: Geographic and feature restrictions are implemented to ensure compliance with:

* International sanctions and embargoes
* Local financial services regulations
* Securities and commodities laws
* Gaming and wagering regulations
* Anti-money laundering (AML) requirements
* Know Your Customer (KYC) regulations
* Data protection and privacy laws
* Consumer protection requirements

### 3. Modifications

#### To The Terms

We reserve the right, in our sole discretion, to modify the Terms at any time or from time to time. The modified Terms will be posted on the Site and any other Interface and will provide the last updated date at the top. Any modified Terms will become effective upon posting. By continuing to access, use or otherwise interact with any Interface or Feature after the effective date of any modification to the Terms, you are providing your explicit agreement to be bound by the Terms as modified. If you do not agree to be bound by any updated Terms, you are prohibited from using, accessing, or otherwise interacting with the Interfaces or Features. It is your responsibility to check any Interface you use regularly for modifications to the Terms.

#### To the Site, any other Interface, or the Features

We reserve the right, in our sole discretion, to modify, substitute, eliminate, restrict access to, or add to the Site, any other Interface, or any Feature at any time and from time to time, with or without notice to you, including deleting or otherwise materially modifying content and information.

We may, at our sole discretion, from time to time and with or without prior notice to you, modify, suspend, or disable (temporarily or permanently) the Site, any other Interface, or the Features, in whole or in part, for any reason whatsoever. Upon termination of your access, your right to use the Site, any other Interface, or the Features will immediately cease. We will not be liable for any losses suffered by you resulting from any modification to any Site, any other Interface, or Feature,s or from any modification, suspension, or termination, for any reason, of your access to all or any portion of the Site, any other Interface, or the Features. The Site, any other Interface, and the Features may evolve, which means the Company may apply changes, replace, or discontinue (temporarily or permanently) the Site, any other Interface, or the Features at any time in its sole discretion.

The following sections of these Terms will survive any termination of your access to the Site, any other Interface, or the Features, regardless of the reasons for its expiration or termination, in addition to any other provision which by law or by its nature should survive: Sections 5, 7-12.

### 4. Your Responsibilities, Representations & Prohibited Conduct

#### Your Representations

As a condition to accessing or using the Site or the Features, you represent and warrant to the Company the following:

**Of Age and Legal Authority**: The Site, any other Interface, and Features are intended only for users who are 18 years of age or older. If you are entering into the Terms on behalf of an entity, such as the company you work for, you represent to us that you have the legal authority to bind such an entity. If you do not meet these requirements, you are prohibited from accessing, using, or otherwise interacting with the Site, any other Interface, or Features.

**Sanctions**: You represent and warrant that you are not, and for the duration of the time you use the Site, any other Interface, and Features, will not be (i) the subject of economic or trade sanctions administered or enforced by any governmental authority or otherwise designated on any list of prohibited or restricted parties; (ii) in contravention of any laws and regulations pertaining to anti-money laundering or terrorist financing; (iii) included on the List of Specially Designated Nationals and Blocked Persons maintained by the US Treasury Department's Office of Foreign Assets Control (OFAC) or on any list pursuant to European Union (EU) and/or United Kingdom (UK) regulations; or (iv) operationally based or domiciled in a country or territory in which sanctions imposed by the United Nations (whether through the Security Council or otherwise), OFAC, the EU and/or the UK apply, or otherwise pursuant to sanctions imposed by the United Nations, OFAC, EU, or UK. If at any point the above is no longer true, then you must immediately cease using the Site, any other Interface, and Features.

**Geographic Restrictions**: You acknowledge and agree that certain features of the Platform are restricted based on your geographic location as detailed in Section 2.3. You represent that you will comply with all applicable geographic restrictions and will not attempt to circumvent these restrictions through VPNs or other means.

**Wallet Configuration**: You represent and warrant that you – and only you – are responsible for properly configuring, as applicable, and using the Site, any other Interface, or the Features or incorporating the Features into your applications or Wallet and for taking appropriate action to secure your data, including, without limitation, financial or token information and private keys.

**No VPN To Circumvent or Attempt to Circumvent**: You do not, and will not, use VPN software or any other privacy or anonymization tools or techniques to circumvent, or attempt to circumvent, any restrictions that apply to the Site, any other Interface, or the Features.

**Sophistication**: You represent and warrant that you possess sufficient knowledge, market sophistication, professional advice, experience, and skills to engage with the Site, any other Interface, and the Features, including an understanding of blockchain technology, digital assets, and social media platforms.

**Applicable Law**: Your access to the Site, any other Interface, and Features is not (i) prohibited by and does not otherwise violate or assist you to violate any domestic or foreign law, rule, statute, regulation, by-law, order, protocol, code, decree, or another directive, requirement, or guideline, published or in force that applies to or is otherwise intended to govern or regulate any person, property, transaction, activity, event or other matter, including any rule, order, judgment, directive or other requirement or guideline issued by any domestic or foreign federal, provincial or state, municipal, local or other governmental, regulatory, judicial or administrative authority having jurisdiction over the Company, you, the Site, any other Interface, or the Features, or as otherwise duly enacted, enforceable by law, the common law or equity (collectively, "**Applicable Laws**"); or (ii) contribute to or facilitate any illegal activity. You represent and warrant that you will comply with all Applicable Laws, and you will not use the Site, any other Interface, or the Features if the laws of your country, or any Applicable Law, prohibit you from doing so.

**Content Responsibilities**: You represent and warrant that any content you create, share, or upload to the Platform (i) is owned by you or you have the necessary rights and permissions to share it, (ii) does not violate any third party's intellectual property rights, privacy rights, or other legal rights, (iii) does not contain malicious code or harmful content, and (iv) complies with all applicable laws and these Terms.

You agree to access, use, or otherwise interact with the Site, any other Interface, and Features only in an authorized, proper, and appropriate manner and in accordance with these Terms and with all Applicable Laws.

You agree that you will not:

* Violate any applicable laws or regulations through your access to or use of the Site, any other Interface, or the Features;
* Violate the Terms;
* Engage in any activity that violates Applicable Laws;
* Exploit the Site, any other Interface, or Features for any unauthorized purpose;
* Circumvent or attempt to circumvent any content-filtering techniques, security measures, geographic restrictions, or access controls that the Company employs on the Site, including, without limitation, through the use of a VPN or similar measures;
* Provide false, inaccurate, or misleading information while using the Site, any other Interface, or the Features, or engage in activity that operates to defraud the Company, other users of the Features, or any other person;
* Harvest or otherwise collect information from the Site, any other Interface, or the Features for any unauthorized purpose;
* Create multiple accounts to manipulate platform features, evade restrictions, or engage in fraudulent activity.
* Engage in activity that violates any Applicable Laws, including but not limited to: (i) any fraudulent act or scheme to defraud, deceive, trick or mislead; (ii) manipulation of polls, surveys, or voting mechanisms; (iii) coordinated inauthentic behavior; (iv) spam or automated posting; (v) impersonation of other users or entities; (vi) harassment, bullying, or threatening behavior; (vii) market manipulation or coordinated trading activities; (viii) wash trading or fictitious engagement; or (ix) any other activity that, in the reasonable judgment of the Company, is abusive, improper, or disruptive;
* Use the Site, any other Interface, or Features in any manner that could disable, overburden, damage, or impair the Site, any other Interface, or Features, or interfere with any other party's use or enjoyment of the Site, any other Interface, or Features;
* Use the Site, any other Interface, or the Features, in any way that is, in our sole discretion, libelous, defamatory, profane, obscene, pornographic, sexually explicit, indecent, lewd, vulgar, suggestive, harassing, stalking, hateful, threatening, offensive, discriminatory, bigoted, abusive, inflammatory, fraudulent, deceptive, or otherwise objectionable or likely or intended to incite, threaten, facilitate, promote, or encourage hate, racial intolerance, or violent acts against others;
* Post, upload, or share content that contains child sexual abuse material (CSAM) or exploits minors in any way;
* Post, upload, or share content that infringes on the intellectual property rights, privacy rights, or other legal rights of third parties;
* Use the Site, any other Interface, or the Features to engage in or promote illegal activities, including money laundering, terrorist financing, or securities fraud;
* Use the Site, any other Interface, or the Features for or on behalf of any person residing in a Restricted Jurisdiction with respect to features that are restricted in that jurisdiction;
* Reverse engineer, disassemble, or decompile the Interfaces or Features or apply any other process or procedure to derive the source code of any software included in the Interfaces or Features, except to the extent applicable law does not allow this restriction or such rights have been expressly granted to you under a separate license;
* Sublicense, sell, or otherwise distribute the Interfaces or Features, or any portion thereof;
* Use any data mining tools, robots, crawlers, or similar data gathering and extraction tools to scrape or otherwise remove data from the Site, any other Interface, or Features;
* Use any manual process to monitor or copy any of the material on the Site, any other Interface, or Features, or for any other unauthorized purpose without our prior written consent;
* Introduce any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful to the Site, any other Interface, or Features;
* Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Site, any other Interface, or Features, the server(s) on which the Site, any other Interface, or Features are stored, or any server, compute,r or database connected to the Site, any other Interface, or Features;
* Attack the Site, any other Interface, or Features via a denial-of-service attack or a distributed denial-of-service attack or otherwise attempt to interfere with the proper working of the Site, any other Interface, or Features;
* Use automated systems or software to extract data from the Site or Interfaces ("screen scraping") without our prior written permission; or
* Engage in any behavior that, in the Company's sole discretion, restricts or inhibits any other user from using or enjoying the Platform.

You acknowledge and agree that if you use the Site, any other Interface, or Feature in a potentially prohibited manner, we may investigate and we reserve the right, in our sole discretion, to (i) terminate your access to the Site, any other Interface, and/or Features, (ii) prohibit you from participating in any reward or incentive programs or product launches, (iii) remove any content you have posted, and (iv) take any other action the Company deems reasonable or necessary, including cooperating with law enforcement or bringing claims against you if they result in harm or damage to the Company, to rectify the prohibited conduct or any consequences resulting therefrom.

You hereby acknowledge and agree that using the Site, any other Interface, and/or Features may result in tax consequences. It is your sole responsibility to determine whether there are any tax consequences from any transactions or activities you engage in using the Site, any other Interface, or Features, and you are solely responsible for ensuring compliance with applicable tax laws in your tax resident jurisdiction.

### 6. Additional Information and Compliance

The Company or a third party acting on behalf of the Company may, from time to time, request additional information from you, including, but not limited to, information to confirm your identity, verify your geographic location, confirm that you are not a Restricted Person with respect to restricted features, or to comply with applicable laws and regulations. If you do not provide such information within the time period set by the Company or if the Company determines, in its sole discretion, that such information is not adequate, the Company may, in its sole discretion, (i) terminate your access to the Site, any other Interface, and/or Features, (ii) limit your access to certain features of the Platform, (iii) prohibit you from participating in any reward or incentive programs or product launches and (iv) take any other action the Company deems reasonable or necessary in its sole discretion.

### 7. Your Feedback

You may provide feedback to us or otherwise submit questions and inquiries through some of the Interfaces ("**Feedback**"). We welcome Feedback relating to improvements or updates to the Interfaces or Features, or inquiries about the same. We will try to review your Feedback but we are not obligated to do so, nor are we obligated to release any modifications or improvements you submit to us based on your Feedback.

You acknowledge and agree that we will own all right, title, and interest in and to all Feedback you submit. You represent and warrant that (i) you and your licensors own all right, title, and interest in and to your Feedback; and (ii) you will not violate any intellectual property or other rights of third parties in providing Feedback to us.

### 8. Intellectual Property Rights

#### Ownership & License

The Company or its licensors own all right, title, and interest, including all intellectual property rights, in and to the Site, any other Interface, and Features, including any related content and technology, unless otherwise indicated. Subject to the Terms, the Company hereby grants you a personal, limited, revocable, non-exclusive, non-sublicensable, non-transferable license to use, copy, and distribute in connection with such use the Site, any other Interface, and Features. This license is solely intended to allow you to access, use, or otherwise interact with the Site, any other Interface, and Features.

You acknowledge and agree that you do not receive any other rights to the Site, any other Interface, or Features other than those specified in the Terms. Certain Features may be provided to you under a separate license; third-party features or applications integrated into the Site or Features may be subject to other or additional intellectual property licenses, and thus, you must review any terms relevant to those third-party features or applications to determine the relevant license applicable thereto. You agree you will not violate the terms of any such separate license.

#### Reciprocal License

By using the Site, any other Interface, or any Feature, you grant us a limited, non-exclusive, sublicensable, worldwide, royalty free license to use, copy, modify, create derivative works of, and display any content or Feedback you provide to us or that you post on or through the Site, any other Interface, or any Features solely for our business purposes, including but not limited to the purpose of providing the Site, any other Interface, or Features for so long as is necessary to do so.

By providing any Feedback or providing any information on or through the Site, any other Interface, or via the Features (collectively, the "**Content**"), you hereby grant to us a royalty-free, fully paid-up, sublicensable, transferable, perpetual, irrevocable, non-exclusive, worldwide license to use, copy, modify, create derivative works of, display, perform, publish and distribute, in any form, medium, or manner, any Content, including, without limitation, for promoting the Platform, its affiliates, the Features, the Site or any other Interface. You represent and warrant that (a) you own your Content or have the right to grant the rights and licenses in these Terms; and (b) your Content and our use of your Content, as licensed herein, do not and will not violate, misappropriate, or infringe on any third party's rights.

#### Third Party Information or Services

As discussed throughout the Terms, the Site, any other Interface, and Features may be integrated with or otherwise give access to applications, services, sites, technology, data, operations, features, and resources that are provided or otherwise made available by third parties ("**Third Party Services**").

If the Site, any other Interface, or Features may contain links to Third Party Services, then they are provided for your convenience only. We have no control over the contents of those sites or resources, and accept no responsibility for them or for any loss or damage that may arise from your use of them. If you decide to access a third-party service integrated with or linked to any Interface or Feature, you do so entirely at your own risk and subject to the terms and conditions of use for such websites. We reserve the right to withdraw linking permission without notice.

As further noted throughout these Terms, your access and use of Third Party Services may be subject to additional terms and conditions, privacy policies, or other agreements with those third parties, which we do not control and otherwise may have no relationship with. The Company also has no control over and is not responsible for such Third Party Services, including for the accuracy, availability, reliability, verification, or completeness of information or content shared by or available through Third Party Services, or the privacy practices of Third Party Services.

Your use of any Third Party Services is directly between you and that third party, and you acknowledge and agree that we will not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any Third Party Services. You, and not we, will be responsible for all costs and charges associated with your use of any Third Party Services.

You acknowledge and agree that the Company is not responsible for the availability of such external sites, applications or resources, and does not endorse and is not responsible or liable for any content, advertising, products, or other materials on or available from such sites or resources. You further acknowledge and agree that Company shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods, or services available on or through any such site or resource.

Please review any applicable terms, privacy policies or agreements of Third Party Services prior to using such services. The integration or inclusion of such Third Party Services does not imply an endorsement or recommendation of such Third Party Services.

### 9. User Content and Community Standards

#### User-Generated Content

The Platform allows you to create, upload, post, send, receive, and store content, including but not limited to text, photos, videos, audio, polls, and other materials (collectively, "**User Content**"). You retain ownership of your User Content, but by posting User Content to the Platform, you grant the Company the licenses described in Section 8.2.

#### Content Standards

All User Content must comply with the following standards:

* **Lawful**: User Content must comply with all applicable laws and regulations.
* **Truthful**: User Content must not contain false, misleading, or deceptive information.
* **Respectful**: User Content must not be abusive, threatening, defamatory, or harassing toward others.
* **Appropriate**: User Content must not contain obscene, pornographic, or sexually explicit material (except in designated adult-only sections, if applicable).
* **Safe**: User Content must not contain malware, viruses, or other harmful code.
* **Original**: User Content must not infringe on the intellectual property rights of others.
* **Non-Exploitative**: User Content must not exploit, harm, or attempt to exploit or harm minors in any way.

#### Content Moderation

The Company reserves the right, but has no obligation, to:

* Monitor, review, and moderate User Content;
* Remove or refuse to post any User Content that violates these Terms or is otherwise objectionable;
* Suspend or terminate accounts that repeatedly violate these Terms;
* Cooperate with law enforcement regarding User Content that may violate applicable laws.

The Company's decision to monitor, remove, or allow User Content does not constitute an endorsement of such content or a waiver of any rights.

#### Reporting Violations

If you believe that any User Content violates these Terms or applicable laws, please report it to us at <contact@polarise.org>. We will investigate and take appropriate action in accordance with these Terms and applicable law.

### 10. Indemnification

You agree to defend, indemnify, and hold harmless us and our licensors, and each of their respective employees, officers, directors, and representatives (collectively, the "**Company Parties**") from and against all liability for monetary damages, contractual claims of any nature, economic loss (including direct, incidental or consequential damages), loss of income or profits, fines, penalties, exemplary or punitive damages, and any other injury, damage, or harm, including reasonable attorney's fees ("**Damages**") that relate in any way to any demand, claim, regulatory action, proceeding or lawsuit, regardless of the cause or alleged cause, whether the allegations are groundless, fraudulent, false, or lack merit and regardless of the theory of recovery ("**Claim(s)**") arising out of or relating to: (i) your use of the Interfaces or Features (including any use by your authorized users, and any User Content you post); (ii) breach of the Terms or violation of applicable law by you; (iii) a dispute between you and any third party, including other users; (iv) your alleged or actual infringement or misappropriation of any third party's intellectual property or other rights; (v) your Feedback; and (vi) your violation of any third party's rights. In the event we receive any third-party subpoena or other compulsory legal order or process associated with Claims described in (i) through (vi) above, then, in addition to the indemnification set forth above, you will reimburse us for our employees' and contractors' time and materials spent responding to such matters at our then-current hourly rates
